  1. Purpose and Scope

Techwave Consulting Inc. (“Techwave,” “we,” “us,” or “our”) develops and administers AgriNext, a secure digital agricultural lending platform (the “Platform”), on behalf of our lender organization clients (“Lenders”). The Platform enables users to submit agricultural loan applications, track application status, securely upload financial documents, communicate with lending teams, and manage their accounts through desktop, tablet, and mobile devices.

This Privacy Policy describes how personal information is collected, used, disclosed, stored, and accessed in connection with the Platform.

Techwave acts solely as the technology provider and administrator of the Platform on behalf of the Lenders. Techwave does not make borrowing, lending, underwriting, credit approval, or loan-denial decisions. Those decisions are the responsibility of the relevant Lender. The Lender’s own privacy notice and terms may also apply to information submitted through the Platform.

This Policy applies to personal information collected through the Platform and related services administered by Techwave. It does not govern the independent privacy practices of Lenders or other third parties.

  1. Personal Information We Collect

The information collected through the Platform depends on the user’s interactions with the Platform and the requirements of the relevant Lender. It may include the following categories:

A. Information You Provide

i. Contact and identifying information: Name, mailing address, email address, telephone number, and other contact details.

ii. Government-issued identifiers: Social Security number (SSN), taxpayer identification number, and other identification information requested by the Lender.

iii. Account information: Username, authentication information, account preferences, and related account details.

iv. Financial information: Income, balance sheets, financial statements, assets, liabilities, banking information, credit-related information, and other financial details requested in connection with an agricultural loan application.

v. Loan application information: Application details, requested loan amounts, supporting information, application status, and related records.

vi. Agricultural and business information: Farm or agricultural business details, business operations, ownership information, and other information requested by the Lender.

vii. Documents and attachments: Financial records, tax documents, property ownership documents, identity documents, and other supporting materials uploaded through the Platform.

viii. Communications: Messages, inquiries, and other communications exchanged with a Lender’s lending team or support personnel.

ix. Other information: Any additional information you choose to submit or that the Lender requests through the Platform.

B. Information Collected Automatically

When you access or use the Platform, certain technical information may be collected automatically, depending on the Platform’s configuration. This may include your IP address, browser type, device information, operating system, access times, pages or features used, and diagnostic or security logs.

The Platform may use cookies or similar technologies to support essential functionality, maintain sessions, protect accounts, and understand Platform usage, where such technologies are implemented.

C. Information from Lenders and Other Sources

We may receive information from Lenders or their authorized representatives in connection with administering the Platform, supporting applications, updating application status, providing customer support, or maintaining account records. We may also receive information from service providers or other sources where authorized and appropriate for the Platform’s operation.

D. Sensitive Personal Information

Information submitted through the Platform may include sensitive personal information, such as SSNs, income information, financial statements, and balance sheet information. This information is collected or made available as needed to support the relevant Lender’s application and lending processes. Users should submit information requested through the Platform accurately and only through the designated secure channels.

  1. How We Use Personal Information

Techwave processes personal information to develop, operate, maintain, and administer the Platform on behalf of Lenders. Depending on the circumstances, this may include using information to:

  • Create and administer user accounts and authenticate users.
  • Enable the submission, receipt, and management of agricultural loan applications.
  • Facilitate the secure upload, transfer, display, and management of supporting documents.
  • Display application status and related updates provided by the relevant Lender.
  • Facilitate communications between users and the Lender’s lending team.
  • Provide technical support and respond to Platform-related inquiries.
  • Maintain Platform functionality, reliability, and performance.
  • Detect, investigate, and help prevent fraud, unauthorized access, security incidents, and misuse of the Platform.
  • Troubleshoot technical issues, test and maintain Platform features, and support system development.
  • Comply with applicable legal obligations and enforce applicable terms and agreements.
  • Perform other activities authorized by the relevant Lender and consistent with our role as the Platform’s technology provider and administrator.

Techwave does not use the information submitted through AgriNext to make lending or borrowing decisions. Techwave does not decide whether an applicant qualifies for a loan, whether credit should be extended, or what lending terms should be offered. The relevant Lender is responsible for evaluating applications and making all lending, underwriting, approval, and denial decisions.

  1. Cookies and Similar Technologies

The Platform may use cookies and similar technologies, where implemented, to support essential functions, maintain user sessions, remember preferences, improve security, diagnose technical issues, and understand how the Platform is used.

You may be able to control cookies through your browser settings. Disabling certain cookies may affect the availability or functionality of some Platform features. Where applicable law requires consent for non-essential cookies or similar technologies, the appropriate consent mechanisms will be provided.

This Policy does not represent that advertising or third-party tracking technologies are used by the Platform unless those technologies are actually implemented.

  1. How We Disclose Personal Information

Techwave may disclose or make personal information available to the following categories of recipients, as necessary and subject to applicable contractual and legal requirements:

A. Lenders

Information may be made available to the relevant Lender and its authorized personnel so that the Lender can receive and review loan applications, access supporting documents, communicate with applicants, administer applications, and make its own lending decisions.

B. Techwave Personnel and Affiliates

Authorized Techwave personnel may access personal information when reasonably necessary to develop, administer, maintain, support, secure, or troubleshoot the Platform. This includes authorized development personnel located in the United States and outside the United States, as described in Section 6.

C. Service Providers

Techwave may use service providers that support the hosting, operation, maintenance, security, or technical administration of the Platform. Such providers may access personal information only as necessary to perform their authorized services and subject to applicable agreements and requirements.

D. Legal and Regulatory Requirements

Techwave may disclose information when required by law, regulation, legal process, or a lawful request from a governmental or regulatory authority, or when disclosure is otherwise necessary to protect rights, safety, security, or the integrity of the Platform, subject to applicable law.

E. Business Transactions

Information may be disclosed as part of a proposed or completed merger, acquisition, reorganization, financing, sale of assets, or similar business transaction, subject to applicable legal requirements and appropriate protections.

F. Other Authorized Disclosures

Techwave may disclose information where the user has authorized the disclosure, where the relevant Lender has authorized it in connection with the Platform’s administration, or where otherwise permitted by applicable law.

Techwave does not sell personal information collected through the Platform for monetary consideration. Any disclosure or processing of personal information remains subject to applicable legal requirements and the agreements governing the Platform.

Techwave also does not sell or share your SMS opt-in data or personal information with third parties for marketing purposes.

  1. Data Hosting, International Access, and Transfers

Personal information collected through AgriNext is hosted in the United States. However, authorized Techwave development personnel located in the United States and jurisdictions outside the United States, including India, may access Platform data when necessary to develop, maintain, administer, support, troubleshoot, or secure the Platform.

Accordingly, although the data is hosted in the United States, it may be accessed from outside of the United States for authorized technical and operational purposes. Such access is intended to be limited to personnel with a legitimate business need and subject to applicable contractual, confidentiality, security, and legal requirements.

Depending on the user’s location and the applicable legal framework, access to or processing of personal information in another country may involve cross-border transfers or access subject to different privacy laws. Where required by applicable law, appropriate safeguards or transfer mechanisms will be implemented.

Users who have questions about international access to their information may contact Techwave using the details in Section 14 or contact the relevant Lender.

  1. Privacy Rights and Choices

Depending on your location and applicable law, you may have rights concerning your personal information, which may include the right to:

  • Request access to personal information held about you.
  • Request correction of inaccurate or incomplete information.
  • Request deletion of personal information, subject to applicable exceptions.
  • Request restriction of or object to certain processing.
  • Request a copy of certain information in a portable format.
  • Withdraw consent where processing is based on consent.
  • Opt out of certain marketing communications, where applicable.
  • Lodge a complaint with a relevant privacy or data protection authority.

Because AgriNext is administered by Techwave on behalf of Lenders, some requests may need to be directed to the relevant Lender, particularly requests concerning loan applications, lending records, financial documents, and lending decisions. Techwave will assist with or refer requests as appropriate to its role and applicable obligations.

To submit a privacy request to Techwave, use the contact details in Section 14. We may need to verify your identity before responding. Certain requests may be limited or denied where permitted by law, including where information must be retained to comply with legal obligations, resolve disputes, maintain security, or meet the relevant Lender’s lawful requirements.

  1. Additional Privacy Information by Region

Privacy rights and obligations vary by jurisdiction. Depending on applicable law, additional requirements may apply to the collection, use, disclosure, retention, and transfer of personal information.

A. United States Residents

Residents of certain U.S. states may have specific rights regarding access to, correction of, deletion of, or other uses of their personal information. The availability and scope of these rights depend on applicable state law and any relevant exceptions.

Where applicable, Techwave will provide required information about the categories of personal information collected, the purposes for which it is used, and the categories of recipients to whom it is disclosed. Requests may be directed to Techwave or the relevant Lender, depending on which organization is responsible for the information and processing at issue.

B. California Residents

California residents may have rights under applicable California privacy laws, subject to statutory conditions and exceptions. These rights may include the right to know, access, correct, or request deletion of personal information, and to receive information about certain disclosures.

The treatment of information submitted through AgriNext may also be governed by the relevant Lender’s privacy notice and any applicable financial privacy laws. Requests concerning lending records should be directed to the relevant Lender where appropriate.

  1. Information Security and Retention

Techwave uses reasonable administrative, technical, and organizational measures intended to protect personal information against unauthorized access, disclosure, alteration, loss, and misuse. Because the Platform may contain sensitive information, including SSNs, income details, balance sheets, and other financial records, protecting that information is important to the Platform’s administration.

Access to personal information by Techwave personnel is intended to be limited to authorized personnel who need the information to perform legitimate development, maintenance, support, security, or administrative functions. Access by personnel in the United States and India is subject to applicable authorization and security requirements.

No method of electronic transmission or storage can be guaranteed to be completely secure. Techwave therefore cannot guarantee absolute security of information transmitted to or stored through the Platform.

Personal information is retained for as long as reasonably necessary for the purposes described in this Policy, consistent with applicable legal and contractual obligations, the relevant Lender’s instructions, and legitimate operational requirements. Retention periods may vary depending on the type of information and the purpose for which it was collected. When information is no longer required, it will be deleted, anonymized, or otherwise handled in accordance with applicable requirements and the relevant agreements.

  1. Children’s Privacy

The Platform is intended for individuals who are legally able to participate in the relevant agricultural lending process. It is not designed for children, and Techwave does not knowingly collect personal information directly from children through the Platform where such collection is prohibited by applicable law.

If you believe that a child has provided personal information through the Platform in circumstances where such collection is not permitted, please contact Techwave using the information in Section 14.

  1. Third-Party Websites and Services

The Platform may contain links to, or integrate with, websites or services operated by Lenders or other third parties. Their privacy practices are governed by their own policies and terms. Techwave is not responsible for the privacy, security, or content practices of third-party websites or services that it does not control.

Users should review the relevant third party’s privacy notice before providing personal information directly to that party.

  1. Responsibilities of Lenders

AgriNext is a technology platform developed and administered by Techwave on behalf of Lenders. The relevant Lender determines the lending products and requirements, requests or specifies the information needed for an application, reviews the applicant’s information, and makes all lending and borrowing decisions.

The Lender may have its own obligations under applicable privacy, financial privacy, consumer protection, lending, and recordkeeping laws. Its privacy notice may explain how it independently uses, retains, discloses, and otherwise processes information submitted through the Platform.

Techwave’s role is to provide and administer the technology that enables the Lender and its users to interact through AgriNext. Techwave does not independently determine loan eligibility, approve or deny applications, set loan terms, or make credit or underwriting decisions.

  1. Changes to This Privacy Policy

Techwave may update this Privacy Policy from time to time to reflect changes to the Platform, its operations, applicable legal requirements, or other relevant circumstances. When changes are made, the “Last Updated” date above will be revised. Where required by applicable law, additional notice or consent will be provided.

Users should review this Policy periodically to stay informed about how personal information is handled through the Platform.
