AGRINEXT WEBSITE TERMS OF USE
Operated by Techwave Consulting Inc.
Last Updated: October 01, 2026
- Acceptance of Terms
These Website Terms of Use (“Terms”) govern your access to and use of AgriNext, including its website, online portal, mobile-accessible features, and related functionality (collectively, the “Platform”).
AgriNext is developed and administered by Techwave Consulting Inc. (“Techwave,” “we,” “us,” or “our”) on behalf of participating agricultural lending organizations (“Lenders”). The Platform enables users to submit agricultural loan applications, track application status, upload supporting financial documents, communicate with lending teams, and manage their accounts.
By accessing or using the Platform, creating an account, or selecting an “I Agree,” consent checkbox, or similar acceptance mechanism, you acknowledge that you have read and agree to these Terms. If you do not agree, you must not access or use the Platform.
These Terms govern your use of the Platform. Each Lender may impose additional terms, privacy notices, lending disclosures, application requirements, electronic-signature requirements, and other conditions relating to its services. You may be required to accept those terms separately. In the event of a conflict, the Lender’s terms will govern the specific lending product, application, transaction, or service addressed by those terms, while these Terms will continue to govern your use of the Platform to the extent they do not conflict.
- Techwave’s Role and the Lender’s Responsibilities
Techwave develops and administers the Platform on behalf of Lenders. Its role is limited to providing and administering the technology that enables users and Lenders to interact through AgriNext.
Techwave does not make borrowing, lending, underwriting, credit approval, or loan-denial decisions. Techwave does not determine loan eligibility, approve or reject applications, set interest rates or loan terms, or decide whether credit will be extended. All such decisions are made by the relevant Lender.
The relevant Lender is responsible for its lending products, eligibility criteria, application requirements, review of applications, loan terms, approval or denial decisions, and communications concerning its lending services. Questions or disputes concerning a loan application, eligibility, loan terms, repayment obligations, or a lending decision must be directed to the relevant Lender.
Your use of the Platform does not create a lending, financial advisory, agency, partnership, or fiduciary relationship between you and Techwave. Techwave is not a party to any loan agreement between you and a Lender merely because the Platform is used to facilitate the application or related communications.
- Eligibility
You must be at least eighteen (18) years old, or the age of legal majority in your jurisdiction if higher, and legally capable of entering into a binding agreement to use the Platform. The Platform is not intended for individuals under 18 years of age, or under the age of legal majority in their jurisdiction if higher.
If you use the Platform on behalf of a farm, agricultural business, partnership, corporation, or other organization, you represent that you are authorized to act on that organization’s behalf and, where applicable, bind it to these Terms.
You may use the Platform only in compliance with these Terms, applicable laws and regulations, and any eligibility or access requirements established by the relevant Lender.
- Account Registration and Security
Certain Platform features require you to create or access an account. You agree to:
- Provide accurate, current, complete, and truthful registration and account information.
- Update your information when it changes.
- Maintain the confidentiality of your login credentials, passwords, and authentication codes.
- Not share your account or credentials with unauthorized individuals.
- Take reasonable steps to prevent unauthorized access to your account.
- Notify Techwave or the relevant Lender promptly if you suspect that your account, credentials, or personal information has been compromised.
- Cooperate with reasonable identity verification and security procedures.
You are responsible for activities conducted through your account to the extent permitted by applicable law. You must not impersonate another person, use false information to create an account, or access an account for which you are not authorized.
Techwave and/or the relevant Lender may require additional verification or restrict, suspend, or disable access where reasonably necessary to protect the Platform, users, or the integrity of the lending process.
Never share an OTP or authentication code with another person. You are responsible for keeping your account and authentication information secure.
- Permitted Use
Subject to these Terms and any applicable Lender requirements, you may use the Platform solely for its intended purposes, including to:
- Register and manage your account.
- Submit and manage agricultural loan applications.
- Upload information and documents requested by a Lender.
- View application status and updates made available through the Platform.
- Communicate with authorized lending personnel.
- Access other features made available to you by the relevant Lender.
You are responsible for ensuring that your use of the Platform is lawful and consistent with these Terms and the instructions provided through the Platform.
- Accuracy and Responsibility for Submitted Information
You are solely responsible for the accuracy, completeness, and truthfulness of the information and documents you provide through the Platform, to the extent permitted by applicable law.
You agree not to knowingly submit false, fraudulent, forged, altered, incomplete, or misleading information or documents, including information concerning your identity, Social Security number, income, assets, liabilities, balance sheets, financial condition, agricultural operations, or business.
You must review your submissions and promptly correct any errors or material changes by using the available Platform functionality or contacting the relevant Lender.
You acknowledge that the relevant Lender may rely on information and documents you submit when evaluating your application or administering its lending services. Techwave does not independently verify all information submitted by users and is not responsible for the accuracy or completeness of information provided by you, a Lender, or another third party.
Techwave is not responsible for a Lender’s decision or any consequence arising from inaccurate or incomplete information submitted by you, except to the extent caused by conduct for which Techwave is legally responsible.
Submitting an application or supporting documents does not guarantee that an application will be processed within a particular timeframe or that a loan will be offered, approved, or funded.
- Electronic Communications, Records, and Signatures
7.1 Electronic Communications
The Platform may provide account notices, verification requests, application updates, document requests, disclosures, agreements, and other communications electronically.
Where permitted by applicable law, you agree to receive such communications electronically and acknowledge that electronic records may be used in connection with your use of the Platform.
You are responsible for maintaining access to the email address, telephone number, and other contact information associated with your account and for keeping that information current.
7.2 Electronic Signatures and Agreements
The Platform may allow you to sign, acknowledge, or accept documents electronically, including applications, authorizations, disclosures, consents, and other documents required by a Lender.
Where you electronically sign or accept a document, you intend that action to constitute your electronic signature or acceptance of the document, with the same legal effect as a handwritten signature to the extent recognized by applicable law.
You agree not to falsely represent your identity or authority when signing electronically. You are responsible for reviewing a document before signing or accepting it and for ensuring that the information you provide is accurate.
A Lender may require separate disclosures, acknowledgments, or consent to conduct transactions electronically. Where applicable law requires specific consent or disclosures before electronic records or signatures may be used, those requirements will be addressed through the applicable process. These Terms do not replace a separate consent where one is legally required.
You should retain copies of signed documents and confirmations for your records. If you need assistance accessing a document or correcting a signing error, contact the relevant Lender or the designated Platform support contact.
- SMS and Text Message Communications
8.1 Message Types and Purposes
Where you provide your mobile telephone number and complete the applicable consent process, Techwave and/or the relevant Lender may send you SMS or text messages in connection with the Platform and the Lender’s services. These messages may include:
- One-time passwords (OTPs), authentication codes, and identity verification messages.
- Account registration, login, and security alerts.
- Loan application acknowledgments, status updates, and notifications.
- Requests for additional information or supporting documents.
- Reminders concerning incomplete applications or outstanding actions.
- Responses to inquiries and other service-related communications.
- Other messages reasonably required or authorized by the relevant Lender in connection with your application, account, or use of the Platform.
Messages may be sent using automated systems or other messaging technology where permitted by law.
8.2 Consent
Where required by applicable law, you will be asked to affirmatively consent to receive text messages through a checkbox or another designated consent mechanism. The applicable checkbox or consent language will identify the relevant messaging purposes.
Your consent to receive service-related text messages is not a condition of obtaining a loan unless the relevant Lender has a lawful basis for imposing such a requirement.
You represent that the mobile telephone number you provide is one you are authorized to use and that you will update it if it changes.
8.3 Opting Out
You may stop receiving SMS messages by replying “STOP” or “CANCEL” to a message, where supported by the messaging service. You may also contact the relevant Lender or use another opt-out method provided with the message.
After your opt-out request is processed, you may receive a confirmation message. You will no longer receive the applicable category of messages unless you subsequently provide the required consent again.
Opting out of SMS messages may limit your ability to receive verification codes or notifications through text messaging. You may need to use another available authentication or communication method to access certain Platform features. Opting out of SMS does not necessarily stop communications sent through other channels or messages that may lawfully be sent for purposes not covered by your opt-out.
8.4 Message and Data Rates
Message and data rates may apply. Your mobile carrier’s standard messaging, data, roaming, and other charges may apply to messages sent to or received from the Platform. You are responsible for charges imposed by your carrier.
8.5 Delivery Limitations
Message frequency will vary depending on account activity, application status, security requirements, and communications from the relevant Lender. Delivery depends on your carrier, device, network coverage, and other factors outside Techwave’s control. Techwave does not guarantee that every message will be delivered or received.
Techwave and the relevant Lender are not responsible for delayed, undelivered, misdirected, or incomplete messages to the extent caused by carriers, network conditions, incorrect contact information, or other circumstances outside their reasonable control.
Do not rely exclusively on SMS for urgent communications or as the sole means of confirming application status. Access the Platform or contact the relevant Lender when confirmation is important.
- Privacy and Personal Information
Your use of the Platform is also subject to the AgriNext Privacy Policy, which describes how personal information is collected, used, disclosed, stored, and accessed in connection with the Platform.
Information submitted through the Platform may include identifying and contact information, Social Security numbers, income information, balance sheets, financial documents, account information, communications, and other information required by the relevant Lender.
Personal information collected through AgriNext is hosted in the United States. Authorized Techwave development personnel located in the United States and in jurisdictions outside the United States with comparable protections, including India, may access Platform data as reasonably necessary for authorized development, maintenance, administration, support, troubleshooting, and security purposes, subject to applicable requirements.
You agree to provide information through the designated Platform functionality or another channel authorized by the relevant Lender. Where separate consent or authorization is required for a particular processing activity, it will be obtained as required by law.
- User Content and Documents
“User Content” means any information, documents, files, messages, or other materials you submit, upload, transmit, or make available through the Platform.
You retain any rights you hold in your User Content. You authorize Techwave, the relevant Lender, and their respective authorized service providers to host, store, transmit, display, reproduce, and otherwise process your User Content as reasonably necessary to operate, administer, secure, maintain, and support the Platform and facilitate the relevant Lender’s application and lending processes, subject to applicable law and the relevant agreements.
You represent that you have the rights and authority necessary to submit your User Content and authorize the processing described above.
You must not upload content that is unlawful, fraudulent, malicious, infringing, or otherwise prohibited by these Terms. You must not upload malware or other material intended to disrupt or compromise the Platform.
Techwave does not acquire ownership of your User Content merely because you submit it through the Platform. The relevant Lender may retain or use application materials in accordance with its own agreements, privacy notice, and legal obligations.
- Intellectual Property
The Platform, including its software, source code, design, interface, graphics, text, logos, trademarks, and related materials, is owned by or licensed to Techwave, the relevant Lender, or other applicable rights holders and is protected by intellectual property laws.
Subject to your compliance with these Terms, Techwave grants you a limited, personal, non-exclusive, non-transferable, revocable right to access and use the Platform for its intended purposes.
Except as expressly permitted by applicable law or authorized in writing, you must not:
- Copy, reproduce, distribute, publish, sell, lease, sublicense, or commercially exploit the Platform or its content.
- Modify, adapt, translate, or create derivative works from the Platform.
- Reverse engineer, decompile, disassemble, or attempt to discover source code or underlying technology.
- Remove or alter proprietary notices, trademarks, or copyright notices.
- Use Techwave’s or a Lender’s name, logo, or branding without prior written authorization.
- Scrape, extract, or systematically collect Platform information through automated tools without authorization.
All rights not expressly granted under these Terms are reserved by the applicable rights holders.
- Prohibited Activities
You agree not to, and not to permit another person to:
- Use the Platform for unlawful, fraudulent, deceptive, or unauthorized purposes.
- Submit false information or impersonate a person or organization.
- Access or attempt to access accounts, systems, or data without authorization.
- Circumvent authentication, security controls, or access restrictions.
- Introduce viruses, malware, malicious code, or other harmful material.
- Interfere with, disrupt, overload, or impair the Platform or its supporting infrastructure.
- Probe, scan, or test the vulnerability of the Platform without prior written authorization.
- Reverse engineer, copy, or misuse Platform technology.
- Harvest user information or contact details without authorization.
- Transmit unlawful, infringing, threatening, abusive, or otherwise prohibited content.
- Use the Platform to facilitate fraud, identity theft, financial crime, or other illegal activity.
- Bypass or disable monitoring, security, or technical restrictions.
Techwave may investigate suspected violations and take reasonable measures to protect the Platform, its users, and its systems, including restricting access, suspending accounts, preserving relevant records, or reporting suspected unlawful activity to appropriate authorities where permitted or required by law.
- Third-Party Services and Links
The Platform may contain links to, or integrations with, third-party websites, systems, applications, identity verification services, communication providers, or other services operated by parties other than Techwave.
Third-party services may be governed by separate terms and privacy policies. Techwave does not control and is not responsible for the content, availability, security, or practices of third-party services that it does not operate.
The inclusion of a link or integration does not constitute an endorsement or guarantee by Techwave. Your use of a third-party service is subject to its applicable terms and policies.
- Platform Availability and Changes
Techwave will use reasonable efforts to maintain the Platform’s functionality but does not guarantee that the Platform will be continuously available, uninterrupted, error-free, or compatible with every device, browser, network, or operating system.
The Platform may be unavailable or limited due to maintenance, updates, technical issues, connectivity problems, security incidents, third-party service failures, or circumstances beyond Techwave’s reasonable control.
Techwave may modify, update, suspend, or discontinue all or part of the Platform where reasonably necessary for maintenance, security, legal compliance, operational needs, or changes to the services provided to Lenders. Where practicable and appropriate, notice will be provided for material changes or interruptions.
- No Guarantee of Loan Approval or Application Outcome
The Platform is a technology tool that facilitates interactions between users and Lenders. It does not guarantee that an application will be accepted, reviewed within a particular timeframe, approved, or funded.
Submitting an application, uploading documents, receiving an acknowledgment, or viewing an application status does not constitute a promise or commitment by Techwave or a Lender to extend credit.
Any loan offer, approval, interest rate, repayment schedule, collateral requirement, or other lending term is determined by the relevant Lender and, where applicable, governed by separate loan documentation.
Techwave does not provide lending, financial, legal, tax, accounting, or investment advice. Questions concerning a specific lending decision should be directed to the relevant Lender.
- Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM AND ITS CONTENT, FEATURES, AND FUNCTIONALITY ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TECHWAVE DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE PLATFORM WILL BE SECURE, ACCURATE, COMPLETE, UNINTERRUPTED, OR ERROR-FREE, TO THE EXTENT SUCH WARRANTIES MAY LAWFULLY BE DISCLAIMED.
TECHWAVE DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF INFORMATION PROVIDED BY USERS, LENDERS, OR THIRD PARTIES, INCLUDING APPLICATION STATUS OR INFORMATION RELATING TO A LENDING PRODUCT.
TECHWAVE DOES NOT GUARANTEE THAT ELECTRONIC TRANSMISSIONS, UPLOADED DOCUMENTS, OR COMMUNICATIONS WILL ALWAYS BE DELIVERED, RECEIVED, OR PRESERVED WITHOUT DELAY, LOSS, OR ERROR.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS ANY WARRANTY, RIGHT, OR REMEDY THAT CANNOT LAWFULLY BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
- Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHWAVE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO USE, THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TECHWAVE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM WILL NOT EXCEED ONE THOUSAND U.S. DOLLARS (US $1000).
This limitation applies regardless of the legal theory under which a claim is brought, including contract, tort, negligence, or otherwise, to the extent permitted by law.
To the maximum extent permitted by applicable law, Techwave is not responsible for:
- Lending, underwriting, credit approval, or loan-denial decisions made by a Lender.
- Loan terms, interest rates, repayment requirements, funding decisions, or other acts or omissions of a Lender acting in its capacity as lender.
- Inaccurate, incomplete, fraudulent, or misleading information or documents submitted by you or another user.
- Losses resulting from your failure to safeguard account credentials or authentication codes.
- Failures or delays attributable to mobile carriers, third-party services, internet connectivity, or other circumstances outside Techwave’s reasonable control.
- Your failure to maintain copies of information or documents you need, subject to any applicable legal obligations of Techwave.
Techwave remains responsible for obligations and liabilities that cannot lawfully be excluded or limited. Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any other liability to the extent such exclusion or limitation is prohibited by applicable law.
The parties acknowledge that the Platform is provided by Techwave as a technology service on behalf of Lenders and that the limitations in this section form an important basis for allocating risk under these Terms.
- Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless Techwave and its affiliates, officers, directors, employees, and contractors from third-party claims, losses, liabilities, damages, and reasonable costs and expenses, including reasonable legal fees, arising out of or relating to:
- Materially false, fraudulent, or misleading information or documents you submit through the Platform.
- Your breach of these Terms or violation of applicable law.
- Your fraudulent, unlawful, or unauthorized use of the Platform.
- Your infringement of a third party’s rights through User Content you submit.
- Your unauthorized use of another person’s account or credentials.
This obligation does not apply to the extent a claim results from Techwave’s own breach, negligence, willful misconduct, or other conduct for which indemnification cannot lawfully be required.
Techwave will provide reasonable notice of a claim for which it seeks indemnification, to the extent practicable. Techwave may participate in the defense of the claim. You must not settle a claim in a manner that imposes an obligation or admission of liability on Techwave without Techwave’s prior written consent.
- Suspension and Termination
Techwave may suspend, restrict, or terminate your access to the Platform, in whole or in part, where reasonably necessary if:
- You violate these Terms or applicable law.
- Your account is suspected of being compromised or used fraudulently.
- Your use presents a security, operational, or legal risk.
- The relevant Lender requests suspension or termination of your access.
- Access is discontinued or modified as part of a change to the Platform or services provided to a Lender.
Where practicable and legally permitted, notice will be provided. Techwave may act without prior notice where necessary to address an urgent security, fraud, legal, or operational concern.
You may stop using the Platform at any time. Closing or ceasing to use your account does not automatically terminate a separate agreement with a Lender, cancel a loan application, discharge a loan obligation, or require immediate deletion of records that must be retained under applicable law or the relevant agreements.
Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitations of liability, indemnification, governing law, and miscellaneous provisions, will survive to the extent applicable.
- Changes to These Terms
Techwave may update these Terms to reflect changes to the Platform, operational practices, legal requirements, or other relevant circumstances.
The updated Terms will be posted on the Platform with a revised “Last Updated” date. Where required by applicable law, Techwave will provide additional notice or obtain renewed acceptance before the changes take effect.
Your continued use of the Platform after revised Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law. If you do not agree to the revised Terms, you must stop using the Platform.
- Governing Law and Venue
These Terms and any dispute arising out of or relating to these Terms or your use of the Platform will be governed by the laws of the State of Texas, without regard to its conflict-of-laws principles, except to the extent otherwise required by applicable law.
Subject to any non-waivable rights under applicable law, the state courts located in Harris County, Texas, and the federal courts with jurisdiction over Harris County, Texas, will have exclusive jurisdiction over disputes arising out of or relating to these Terms or your use of the Platform. You and Techwave consent to the jurisdiction of those courts.
Before commencing formal proceedings, the parties are encouraged to attempt to resolve a dispute in good faith through written notice and discussion. Nothing in this section limits any right or remedy that cannot lawfully be waived or restricted.
- General Provisions
A. Entire Agreement
These Terms, together with the AgriNext Privacy Policy and any applicable supplemental terms expressly incorporated by reference, constitute the agreement between you and Techwave concerning your use of the Platform, except where a separate written agreement governs the relevant subject matter.
B. No Waiver
A failure or delay by Techwave in exercising any right under these Terms does not constitute a waiver of that right.
C. Severability
If any provision of these Terms is held invalid or unenforceable, it will be modified to the minimum extent necessary to make it enforceable, where permitted. If it cannot be modified, it will be severed, and the remaining provisions will remain in effect.
D. Assignment
You may not assign or transfer your rights or obligations under these Terms without Techwave’s prior written consent. Techwave may assign these Terms to an affiliate or successor in connection with a merger, reorganization, or transfer of the relevant business or assets, subject to applicable law.
E. No Third-Party Beneficiaries
Except as expressly stated, these Terms do not create rights in any third party. This provision does not affect rights or obligations arising under separate agreements with Lenders or other parties.
F. Relationship of the Parties
Techwave and you are independent parties. These Terms do not create an employment, partnership, joint venture, agency, or fiduciary relationship between you and Techwave.
G. Notices
Techwave may provide notices by posting them on the Platform, sending them to the email address associated with your account, or using another reasonable communication method, subject to applicable legal requirements. Notices to Techwave must be sent using the contact details below.
H. Force Majeure
Techwave will not be liable for delay or failure to perform to the extent caused by circumstances beyond its reasonable control, including natural disasters, widespread network or telecommunications failures, government action, civil unrest, labor disruptions, or failures of third-party infrastructure, subject to applicable law.
I. Headings
Section headings are included for convenience only and do not affect the interpretation of these Terms.
